1. Acceptance of Terms

By downloading, installing, accessing, or using VoiceVibe ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.

2. License and Use Rights

2.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use VoiceVibe for personal or commercial purposes.

2.2 License Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the Software
• Modify, adapt, or create derivative works of the Software
• Distribute, rent, lease, or sublicense the Software
• Remove or modify any proprietary notices or labels
• Use the Software for any unlawful purpose or in violation of any applicable laws

3. Feedback

We welcome your feedback about the Software. Any feedback, suggestions, or recommendations you provide may be used to improve VoiceVibe without compensation to you.

4. User Responsibilities

4.1 Service Tiers and Third-Party Services

VoiceVibe offers two service tiers with different technical architectures:

• Free Tier: Voice Typing mode uses on-device AI (Parakeet V3). No API keys, no cloud services, fully offline processing.
• Pro Tier ($14.99/mo): All 9 modes with cloud AI processing via VoiceVibe's backend to third-party providers (Google Cloud AI, Groq). VoiceVibe manages all API keys - you are not responsible for obtaining or managing API keys.
• Pro users must maintain an active subscription and comply with third-party AI provider terms of service.
• Pro subscription includes all AI processing costs - no additional charges for AI usage.

4.2 Subscription Terms

Pro subscription terms:

• Monthly subscription at $14.99/mo, billed via Stripe
• 7-day free trial for first-time subscribers - trial automatically converts to paid subscription unless cancelled before trial ends
• Cancel anytime during trial for zero charges
• Automatic renewal unless cancelled - cancel anytime from your dashboard
• After cancellation, Free tier (Voice Typing) remains accessible forever
• Multi-device support with unlimited device activations
• Pro subscription required for 8 advanced modes - Free tier always available

4.3 Refund Policy

Our refund policy:

• 7-day free trial allows risk-free testing of all Pro features
• Monthly subscriptions: Refunds considered on a case-by-case basis for technical issues that prevent use of the service
• No refunds for partial months or cancelled subscriptions (service remains active until end of billing period)
• To request a refund, contact support@voicevibe.ai with your account details and reason
• Refund requests must be submitted within 14 days of the charge

4.4 System Requirements

You are responsible for ensuring your system meets the minimum requirements for VoiceVibe and maintaining necessary permissions (microphone access, screen recording, etc.). Free tier requires ~3GB RAM for on-device AI. Pro tier requires internet connection for cloud processing.

5. Acceptable Use Policy

You agree to use VoiceVibe only for lawful purposes and in compliance with all applicable laws. You may not use the Software to:

• Engage in any illegal activity or violate any local, state, national, or international law
• Generate, transmit, or store content that is harmful, offensive, or inappropriate
• Infringe upon the intellectual property rights of others
• Attempt to gain unauthorized access to other systems or networks
• Interfere with or disrupt the Software or third-party services
• Use the Software in any way that could damage our reputation or business

6. Privacy and Data Handling

Your privacy is important to us. Please review our Privacy Policy to understand how we handle your data. By using VoiceVibe, you acknowledge that your data flows directly to third-party AI providers and agree to their respective privacy policies.

7. Intellectual Property

7.1 Our Rights

VoiceVibe and all related intellectual property rights are owned by us or our licensors. These Terms do not grant you any ownership rights in the Software.

7.2 Your Content

You retain ownership of any content you process through VoiceVibe. We do not claim ownership of your voice recordings, text, or other data processed by the Software.

8. Disclaimers and Limitations

8.1 "AS IS" Provision

VoiceVibe is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

8.2 No Guarantee of Availability

We do not guarantee that VoiceVibe will be available at all times or free from interruptions, errors, or security issues.

8.3 Third-Party Services

VoiceVibe depends on third-party AI services. We are not responsible for the availability, accuracy, or performance of these services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO VOICEVIBE SHALL NOT EXCEED $100.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from your use of VoiceVibe, violation of these Terms, or infringement of any third-party rights.

11. Termination

11.1 Termination by You

You may stop using VoiceVibe at any time by uninstalling the Software and deleting all related files.

11.2 Termination by Us

We may terminate your access to VoiceVibe at any time, with or without cause, including if you violate these Terms.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the Software or our website. Continued use after changes constitutes acceptance of the updated Terms.

13. Export Controls

VoiceVibe may be subject to export control laws. You agree to comply with all applicable export and import laws and regulations.

14. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of Delaware. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, or in the state or federal courts located in Delaware.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding VoiceVibe.
